The following provides information to create legal documents necessary for exchanging or sharing materials or information between and amongst Catholic Healthcare West and external third parties.

Confidential Disclosure Agreement

Sometimes, confidential or proprietary information needs to be shared with a potential partner for research or other purposes. That's when a CDA, also known as a Non-Disclosure Agreement (NDA), is needed. A CDA (or NDA) is a legal contract between at least two parties that defines the scope and terms of how, when and with whom the confidential information may be shared and handled.

CHW's CDA questionnaire is used to glean information necessary to create/draft a CDA, and for the Intellectual Property Office staff to negotiate any unusual terms in the agreement.

Material Transfer Agreement

When research materials need to be shared, they also need to be protected. A MTA is a contract that governs the transfer of tangible research materials and defines how the material is to be used as well as its ownership for purposes of development. Either CHW or another party (or parties) may provide or receive research materials, and the agreements reflect appropriate terms and conditions. Before either releasing or requesting research materials, please complete and return the MTA Questionnaire provided below to the Intellectual Property Office.

Sponsored Research Agreements (SRA)

A SRA can be an agreement between private industry, academia, government or a foundation and CHW, the subject of which is a research project directed by a CHW principal investigator. If you are in need of a SRA with a foundation or private industry, please contact the Intellectual Property Office directly to assist you with this process. Clinical trials and work for hire service documents should be handled through routine channels within each facility

License Agreements

Licensing agreements for the foundation from which CHW, as a not-for-profit organization, often contributes its expertise to individuals and institutions elsewhere.
